of Dowdell Public Utility District (the "District") met at its
regular meeting place on February 19,2015,with a quorum of directors present, as follows:

The order set out below was introduced for consideration of the board.
It
was duly
moved and seconded that said order be adopted; and, after due discussion, said motion was
carried by the following vote:

The order thus adopted is as follows:
Whereas, Dowdell Public
Utility District has been legally created; the directors of the
District have qualified as required by law, met and organized; said board of directors has adopted
plans for the purchase and construction of plants and improvements to carry out the purpose of
its organization; the District's engineer has submitted to the board of directors a complete
engineer's report covering the plants, improvements, facilities, equipment, and appliances to be
purchased or constructed and their estimated cost, together with maps, plats, profiles and data
fully showing and explaining same, which report and accompanying items have been approved
by the board, f,rled in the meeting place and office of the District, and open to inspection by the
public; and said plants and improvements are designed to furnish a water and sanitary sewer
system for service within the District and any land which may hereafter be annexed into the
District
and a drainage system
for the drainage of lands within the District and any land which

may hereafter be annexed into the District.
The District's engineer and the District's'board of directors make the following estimate

of directors made no change or modification in the work proposed by
or the plans and report of the engineer; no preliminary bonds of the District were authorized or
issued; all requirements have been met prerequisite to the ordering of a bond election; and the
board is of the opinion that the election should be held for the purpose
of submitting the
proposition set out hereinafter.
'Whereas,
the board of directors of the District has determined that
it is in the public
interest to conduct the election on a uniform election date.
Therefore, be it ordered by the board of directors of District, as follows:

1.
The matters and facts set out in the preamble of this order are hereby
found and declared to be true, correct and complete.
Section
2.
A bond election shall be held for and within
Dowdell Public Utility
District on May 9,2015 at Schultz Elementary School,7920 Willow Forest Drive, Tomball,
Texas, within the District.

At the election, the following proposition shall be submitted to the duly
qualified resident electors of the District for their action thereon:

Shall the board of directors of Dowdell Public Utility District be authorized to issue
of said District in the maximum amount of thirfy five million dollars ($35,000,000),
maturing serially or otherwise over a period not to exceed forty (40) years from their date or
dates, and to be issued and sold at any price or prices and to bear interest at any rate or rates as
shall be determined within the discretion of the board of directors of the District and as authorized
by the laws of the State of Texas at the time of such issuance, for the benefit of the District and
any land which may be hereafter annexed into the District, for the purposes of purchasing,
constructing, acquiring, owning, operating, repairing, improving and extending a water and
sanitary sewer system, a surface water system, and sewage disposal facilities for the Dishict and a
drainage system for the drainage of lands within the District, and for paying fees or charges to
any regional water authority or similar entity for charges or contributions lawfully levied on the
District, and for the further purpose of refunding, by any means now or hereafter authorized by
law, all or any portion of any bonds or refunding bonds of the District payable in whole or in part
from taxes authorized hereunder, and to provide for the payment of principal of and interest on
such bonds by the levy and collection of a sufficient ad valorem tax upon all taxable property
within the District, all as authorizedby the Constitution and laws of the State of Texas?

The election will be conducted in compliance with the provisions of the
Texas Election Code.

Paper and/or electronic ballots shall be used
in the election.
Ballots,
voting instructions and the proposition shall be made available in the Spanish, Vietnamese and
Chinese (Mandarin) languages for those requesting same. The ballots for said election shall
conform to the requirements of the Texas

The presiding judge shall be and is hereby authorized to appoint not more than six (6)
election clerks to assist in the conduct of said election.

The District's attorneys shall be and they are hereby authorized
and
directed to assist the secretary of the Board in preparing the official ballot, translation of the
ballot in the Spanish, Vietnamese and Chinese (Mandarin) languages, and procuring
and
distributing the election supplies.

9.
Early voting and ballots shall conform to the requirements of the said
Code and Election Code, as amended, so far as applicable. Early voting by
personal appearance shall be conducted at the Willow Forest Clubhouse, 8410 Creek Willow
Drive, Tomball; Harris County, Texas 77375, which, for purposes of this election, is declared to
be a public place within the boundaries of the District. Said early voting clerk shall keep the
early voting polling place open for early voting by personal appearance between the hours of
8:00 a.m. to 4:00 p.m.; each day which is not a Saturday, a Sunday, or an official state holiday,
beginning on the twelfth day and continuing through the fourth day preceding the date of said
election, Apñlr27,2015 through May 5,2015. Applications for ballots by mail shall be mailed
to: Early Voting Clerk, Dowdell Public Utility District,2727 AIIen Parkway, Suite i100,
Houston, Texas 77019. Applications for ballots by mail must be received no later than the close
of business on April 30,2015.

11. In accordance with the provisions of Section 3.009(b) of the Texas
Election Code, it is hereby found and determined that:
(a) The proposition language that will appear on the ballot is set forth
in Section 5 hereof.
(b) The pu{pose for which the bonds are to be authorized is set forlh in
Section 3 hereof.

(c) The principal amount of the bonds to be authorized is set forth in
Section 3 hereof.
(d) As set forth in Section 3 hereof, if the bonds are approved by the
voteÍs, the Board of Directors will be authorized to levy annual ad valorem
taxes on all taxable property in the District, within the limits prescribed by
law, sufficient to pay the annual principal of and interest on the bonds.
(e) Based on the bond market conditions at the date of adoption of this
Order, the bonds are to be sold at any price or prices and to bear interest at a
rate not to exceed two percent (ZYo) above the highest average interest rate
reported by the Daily Bond Buyer in its weekly "20 Bond Index" during the
one-month period next preceding the date notice of the sale of the bonds is
given.
(Ð As set forth in Section 3 hereof, if the bonds are approved, they
may be issued in one or more series, to mature serially or otherwise, over a
period not to exceed 40 years.
(g) As of the fiscal year beginning October I, 2014, the aggregate
principal amount of the outstanding principal of the District's debt obligations
which are secured by ad valorem taxes is $17,850,000.
(h) As of the fiscal year beginning October 1,2014, the aggregate
amount of the outstanding interest of the District's debt obligations which are
secured by ad valorem taxes was $5,855,826.
(i)
The District's ad valorem debt service tax rate for the 2013-2014
fiscal year is $0.92 per $100 of taxable assessed valuation.
The President or Vice President is authorized to execute and the Secretary or Assistant
Secretary to attest this order on behalf ofthe board; and any of said officers is authorized to do
all things necessary and legal in connection with the holding and consummation of said
election.

En vista de que el Distrito de Servicios Públicos de Dowdell ha sido legalmente creado;
los directores del Distrito tienen la autoridad requerida por la ley, se han reunido y organizado;
dicha junta directiva ha adoptado los planes para la compra y la construcción de plantas y
mejoras para llevar a cabo el propósito de su organización; el ingeniero del Distrito ha
presentado a la junta directiva un informe de ingeniería completo que cubre las plantas, las
mejoras, las instalaciones, los equipos y los aparatos que se han de comprar o construir y su
costo estimativo, junto con mapas, planos catastrales, perfiles y datos que los muestran y
explican completamente, cuyos ítems informativos y adjuntos han sido aprobados por la junta,
presentados en el lugar de la asamblea y oficina del Distrito y puestos a disposición del público,
y dichas plantas y mejoras están diseñadas para suministrar un sistema de aguas y alcantarillado
sanitario para el servicio dentro del Distrito y cualquier terreno que pueda ser anexado al Distrito
de aquí en adelante y un sistema de drenaje para el drenaje de los terrenos dentro del Distrito y
cualquier terreno que pueda ser anexado al Distrito de aquí en adelante.
El ingeniero del Distrito y la junta directiva del Distrito han
estimado los siguientes

En vista de que la junta directiva no ha realizado ningún cambio o modificación en el
trabajo propuesto ni en los planes y el informe del ingeniero; no se han autorizado ni emitido
bonos preliminares del Distrito; todos los requerimientos se han cumplido como prerrequisito
para ordenar una elección de bonos, y la junta considera que se debe rcalizar una elección con el
propósito de presentar la proposición expuesta de aquí en adelante.
En vista de que, la junta directiva del Distrito ha determinado que es para el beneficio del
público llevar a cabo la elección en una fecha de elecciones uniforme.
Por lo tanto, la junta directiva del Distrito ordena que:

Se celebrará una elección de bonos paray dentro del Distrito de Servicios
Públicos de Dowdell, el 9 de mayo de 2015, en Schultz Elementary School, 7920 Willow Forest
Drive, Tomball, Texas, dentro del Distrito.

En la elección, la siguiente proposición será presentada ante los votantes

debidamente habilitados residentes en el Distrito para que, acto seguido, voten por ella:
PROPOSICIÓN
¿Se deberá autorizar ala junta directivadel Distrito de Servicios Públicos de Dowdell a
emitir bonos de dicho Distrito por la cantidad máxima de treinta y cinco millones de dólares
($35,000,000), para vencer en serie o de otra manera durante un período que no exceda los
cuarenta (40) años apartir de su fecha o fechas, para emitirse y venderse a algún precio o precios
y devengar interés a alguna tasa o tasas, según se determine a discreción de lajunta directiva del
Distrito y de acuerdo con lo autorizado por las leyes del Estado de Texas al momento de dicha
emisión, para beneficio del Distrito y cualquier terreno que se pueda anexar al Distrito en el
futuro, con el propósito de comprar, construir, adquirir, tener propiedad, operar, reparar, mejorar,
y ampliar un sistema de agua y de alcantarillado sanitario, un sistema de agua de superficie e
instalaciones de alcantarillado de desecho para el Distrito y un sistema de drenaje para el drenaje
de los terrenos dentro del Distrito, y paru pagar las cuotas o los cargos a cualquier autoridad
regional de distribución de agua o entidad similar para cargos o contribuciones impuestos
lelalmente en el Distrito, y con el propósito adicional de reembolsar, por algún medio aúorizado
ahora o más adelante por la ley, todos o alguna parte de los bonos o bonos de reembolso del
Distrito, pagaderos en totalidad o en parte apartir de impuestos autorizados en lo sucesivo, y para
proporcionar el pago del capital e interés de dichos bonos mediante la imposición y recaudación
de un impuesto ad valorem suficiente sobre toda propiedad gravable dentro del Distrito, todo esto
según lo autorizado por la Constitución y las leyes del Estado de Texas?

La elección se llevarâ a
cabo en conformidad con las disposiciones del
Código Electoral de Texas.

Se usarán boletas de votación de papel y/o electrónicas en la elección. Las
boletas de votación, las instrucciones de votación y la proposición estarân disponibles en
español, vietnamita y chino (mandarín) para las personas que las soliciten. Las boletas de
votación para dicha elección cumplirán con los requisitos del Código de Agua de Texas y con el
Código Electoral de Texas, y sus enmiendas, siempre que así corresponda, y tendrán impreso, en
inglés, español, vietnamita y chino (mandarín), lo siguiente:

a brindar asistencia al Secretario de la Junta para preparar la boleta oficial de votación, la
traducción de la boleta de votación a los idiomas español, vietnamita y chino (mandarín), y
obtener y distribuir los suministros electorales.

9: La votación anticipada y
las boletas de votación cumplirán con
los
requisitos de dicho Código de Agua de Texas y del Código Electoral, según modificado, siempre
que así corresponda. La elección anticipada en persona se celebrarâ en \Millow Forest Clubhouse,
8410 Creek Willow Drive, Tomball, Condado de Harris, Texas 77375, que, a efectos de esta
elección, es declarado lugar público dentro de los límites del Distrito. Dicho oficial de votación
anticipada mantendrá abierto el lugar de votación anticipada para la votación anticipada en
persona en el horario de 8:00 a.m. a 4:00 p.m., cada día que no sea sábado, domingo ni feriado
of,rcial del estado, apartir del doceavo día antes y continuando hasta el cuarto día antes de dicha
elección, del27 de abril de2015 al 5 de mayo de2015, inclusive. Las solicitudes de boletas de
votación para votar por correo deben ser enviadas por coffeo a: Early Voting Clerk, Dowdell
Public Utility District, 2727 Allen Parkway, Suite 1100, Houston, Texas 77019.I as solicitudes
de boletas de votación por correo deben ser recibidas no más tarde que al cierre del horario de
oficina del 30 de abril de 2015.

El aviso de dicha elección
se dará de acuerdo con lo que exige la ley

De acuerdo con las disposiciones de
Sección
Electoral de Texas, se halla y determina por la presente que:

valorem anuales sobre toda propiedad gravable del Distrito, dentro de los
límites establecidos por la ley, suficientes para pagar el capital anual y el
interés de los bonos.
(e) Según las condiciones del mercado bursátil a1r:-fecha de adopción
de la presente Orden, los bonos se venderán a algún precio o precios y
devengarán interés a una tasa que no supere el dos por ciento (2%) por encima
de la tasa de interés promedio más alta informada por Daily Bond Buyer en su
sección semanal "'20 Bond Index" durante
el
periodo de
un mes
inmediatamente anterior a la fecha en que se dé aviso de la venta de los bonos.

(f) Como se establece en la Sección 3 de este documento, si se
aprueban los bonos, se podrán emitir en una serie o más, para vencer en serie
o de otro modo, durante un periodo que no exceda los 40 años.
(g) A la fecha del año fiscal que empezó el 1 de octubre de 2014, la
cantidad agregada de capital del capital pendiente de obligaciones de deuda
del Distrito que se garantizan con impuestos ad valorem es de $17,850,000.
(h) A la fecha del año fiscal que empezó el I de octubre de 20l4,la
cantidad agregada del interés pendiente de las obligaciones de deuda del
istrito que se garcntizan con impuestos ad valorem era de $5,855,326.
(i) La tasa del impuesto ad valorem
para el servicio de la deuda del
Distrito para el año fiscal2013-2014 es $0.92 por cada $100 de tasación fiscal
gravable.
El Presidente o el Vicepresidente están autorizados para ejecutar y el Secretario o el
Secretario Asistente para atestiguar esta orden en representación de la junta; y cualesquiera de
dichos funcionarios están autorizados para realizar todas las acciones necesarias
relación con la celebración y consumación de dicha elección de bonos.
