A Russian legal entity (the Borrower) borrowed money from a foreign bank (the Lender) under a loan
agreement (the Loan Agreement). The Borrower’s obligations under the Loan Agreement are secure by an
agreement of pledge (mortgage) of certain real estate assets of the Borrower (the Mortgage Agreement).
The Borrower fails to make due repayment under the Loan Agreement and bankruptcy proceedings are
initiated against it. What would be the priority of the Lender’s claims under the Loan Agreement, and what
is the maximum amount which the Lender may expect to get for satisfaction of its claims out of proceeds
of the sale of the assets that the Borrower pledged to the Lender under the Mortgage Agreement?
