World Wide Supply 18. 12.15 PRESS RELEASE WWS - ISSUER'S BOND ISIN: NO 001 0694565, USD 150 000 000, 7.75%, 2013/2017 The Board of World Wide Supply AS (the "Issuer") refers to the summons for Bondholders' Meeting (the "Summons") from Nordic Trustee (the "Trustee") dated 17 December 2015 in relation to the Issuer's bondloan ISIN: NO 001 0694565, USD 150,000,000, 7.75%, 13/17. According to the Summons, the bondholders holding 65.7% of the principal amount outstanding under the Bonds are offering (the "Offer") to purchase all outstanding shares in the Company through a company set up by the Trustee on the conditions set out in the Summons (the "Transaction"). Further, according to the Summons, the Trustee has received a binding instruction to declare the Outstanding Bonds to be in default and due for immediate payment and to initiate enforcement actions if the Minimum Threshold (as defined in the Summons) is not fulfilled or if the Transaction is cancelled or terminated. The Trustee has engaged Clarksons Platou Securities AS ("Clarkson") to assist in the Transaction, and the Board understands that Clarkson has already approached several of the Issuer's shareholders and indicated a deadline for acceptance of the Offer at 17.00 CET on Monday 21 December 2015. The Board has for several months conducted negotiations with the Trustee and a committee of bondholders to seek to reach an amicable solution to the Issuer's challenging financial condition. The Board has also implemented measures such as cost reductions to safeguard the interests of the relevant stakeholders. The Board recognises that no final agreement with the bondholders was reached, but acknowledges that the Offer represents the best available solution to the Issuer.
