Challenge Rules
Thank you for visiting the RNLI Lifeboat Decommissioning Challenge Microsite.
By submitting an entry to the RNLI Lifeboat Decommissioning Challenge (the
“Challenge”) you are agreeing to be bound by the following terms (“Challenge
Rules”).
The RNLI’s Privacy Statement (the “Privacy Statement”) also forms part of these
Challenge Rules and should be read also.
1. The Challenge
The Challenge will be set, moderated, administered and managed by the owner of the
Challenge, the RNLI.
Advisory assistance in relation to management of the Challenge will be provided via
the LoToNo project.
2. Who are we - This is a microsite wholly owned and operated by the RNLI, a charity
registered in England & Wales, Scotland and the Republic of Ireland, charity number
209603, whose registered office is at West Quay Road, Poole, Dorset, BH15 1HZ.
References in these Terms to 'we' or 'us' are to the RNLI.
LoToNo is a project co-funded by the European Union, run by The Design Programme
(WSX Enterprise Ltd).

3. Eligibility
The Challenge is open to all individuals over the age of 18 and to all validly formed
legal entities that have not declared or been declared in bankruptcy.
Multiple entries are permitted. Each entry will be reviewed independently.
Multiple individuals or entities may collaborate to submit a single entry, but a single
individual must be designated as an official representative for each entry.
Participation in the Challenge is subject to all applicable laws and regulations in the
UK.
You are responsible for checking applicable laws and regulations in your jurisdiction
before participating in the Challenge to make sure your participation is legal.
If you are entering on behalf of a company, institution or charity, you are responsible
for confirming that the entry does not violate any policies set by that company,
institution or charity.
4. How to enter
To enter, register on www.RNLIchallenge.org.uk (the “Challenge Microsite”).
Submit a completed proposal (your “Entry”) using the submission template and
following the instructions provided on the Challenge Microsite.
All entries must be non-confidential and must be in English. Any relevant Entry
attachments may be submitted in .pdf, .xls, .doc, or .ppt formats. Links to online videos
(e.g. YouTube) or other large files can be included in your submission document.
Entries may include the proposal document and up to two supplemental files; the size
of the complete submission may not exceed 10MB.
In general, each Entry:
(a) Must describe in reasonable detail a technology, material, algorithm, research
method or idea, testing or training protocol, or other solution. If you have
already filed a patent or trade mark application or been issued a patent or trade
mark for any part of your Entry, or if you have licensed or will need to license
any third-party intellectual property, please include that information;
(b) Must describe the value proposition of the technology /material /method /idea
/testing or training protocol/solution discussed in the Entry; and
(c) Must provide information about individual innovators, business team, your
company, institution or charity, as applicable that created or developed the
technology /material /method /idea /testing or training protocol/solution in the
Entry.
5. Intellectual Property Rights
You acknowledge that the RNLI name and logo are trade marks of the RNLI. No
permission is given by us in respect of the use of any such trade marks, names or logos
and such use may constitute an infringement of the RNLI’s rights.
You acknowledge that the RNLI does not have any claim to ownership of your Entry
or any of your intellectual property or third party intellectual property that it may
contain.
By participating in the challenge, you are not granting any rights in any patents or
trade marks, or pending patent or trade mark applications related to the technology
described in your Entry.
However by submitting an Entry to the Challenge, you are granting the RNLI certain
limited rights as follows:
(a) By submitting an Entry, you grant to the RNLI right to review your Entry, to
describe your Entry in connection with any materials created in connection
with Challenge and to have representatives of RNLI and LoToNo review your
Entry:
(b) You agree that any use of your personal data by the RNLI will be governed by
the Privacy Statement which can be found by following the hyper link above.
(c) You agree that nothing in these Challenge Rules grants you a right or license to
use any names or trade marks the RNLI, or any other intellectual property or
proprietary rights of the RNLI.
(d) You grant to the RNLI the right to include your company, institution or charity
name and logo (if your Entry is from a company, institution or charity) as an
entrant in the Challenge Rules.
The RNLI shall have the right to remove any content from the Challenge Microsite in
their sole discretion at any time and for any reason, including, but not limited to, any
online comment or posting related to the Challenge.
Any rights not expressly granted in these Challenge Rules are reserved.
6. Confidential Information
By submitting an Entry to the Challenge, you agree that no part of your Entry includes
any confidential ideas or products.
As the RNLI wishes to receive or hold any submitted materials “in confidence” it is
agreed that, with respect to your Entry, no confidential or fiduciary relationship or
obligation of secrecy is established between you and the RNLI, you and other
participators of the Challenge, your Entry team, the company, institution or Charity
you represent when submitting an Entry, or any other person or entity associated with
any part of your Entry.
You agree that you will not discuss with anyone outside the confines of the Challenge,
any information to which you become privy, relating to the RNLI.
If your Entry is selected for further evaluation by the RNLI, then the RNLI may (but
are not obligated to) offer to sign a confidentiality agreement as part of further
discussions about your Entry and the technology /material /method /idea /testing or
training protocol/solution it describes.
7. Exclusivity
If your Entry is selected for further evaluation by the RNLI then you acknowledge to
participate and be subject to an exclusivity period (the “Airlock”) between the dates of
22 May 2015 and 10 July 2015.
Unless previously agreed with the RNLI, you agree that during the Airlock you will
not, whether directly or indirectly and whether or not on my own behalf or in
conjunction with a Third Party (Third Party is any person or entity other than you or
the RNLI):
(a) Enter into, re-start, solicit or initiate or otherwise participate in any Third Party
negotiations concerning your Entry to the Challenge;
(b) Seek, initiate or respond to the submission of any proposals or offers from any
Third Party in relation to your Entry to the Challenge: or
(c) Enter into any heads of terms, agreement in principle understanding or
arrangement (whether legally binding or not), relating to your Entry to the
Challenge.
8. Warranties
By submitting an Entry, you represent and warrant that all information you enter on the
Challenge Microsite is true and complete to the best of your knowledge, that you have
the right and authority to submit the Entry on your own behalf or on behalf of the
persons and entities that you specify within the Entry, and that your Entry (both the
information and materials submitted in the Entry and the underlying
technology/method/idea/treatment protocol/solution described in the Entry):
(a) is your own original work, or is submitted by permission with full and
proper credit given within your Entry;
(b) does not contain confidential information or trade secrets (yours or
anyone else’s);
(c) does not knowingly, after due inquiry (including, by way of example
only and without limitation, reviewing the records of the Intellectual
Property Office in the UK and inquiring of any employees and other
professionals retained with respect to such matters), violate or infringe
upon the patent rights, industrial design rights, copyrights, trade marks,
rights of privacy, publicity or other intellectual property or other rights of
any person or entity;
(d) does not contain malicious code, such as viruses, malware, timebombs,
cancelbots, worms, Trojan horses or other potentially harmful programs
or other material or information;
(e) does not and will not violate any applicable law, statute, ordinance, rule
or regulation; and
(f) does not trigger any reporting or royalty or other obligation to any third
party.
9. Judging
Two groups will evaluate all Entries received by the RNLI for the Challenge:
(a) Firstly; an evaluation committee (the “Committee”) comprised of
representatives of the RNLI and LoToNo. The Committee will evaluate Entries
and select those that are to be provided to the Judges for final selection.
(b) Secondly; an independent judging panel (the “Judges”) comprised of
representatives from the RNLI and LoToNo will then evaluate the selected
Entries to determine which Entries will be progressed.
Entries will be judged in accordance with our Assessment Principles which can be
found on our Microsite here.
All decisions made by the Committee and the Judges are final, at their sole discretion
and not subject to further review.
10. Limitation of Liability
By participating in the Challenge, you agree to release, indemnify and hold harmless
the RNLI, each of the Judges and members of the Committee and any affiliates,
subsidiaries as applicable and each of their respective agents, representatives, officers,
directors, shareholders and employees from and against any injuries, losses, damages,
claims, actions and any liability of any kind resulting from or arising out of your
participation in, association with or submission to the Challenge (including any claims
alleging that your Entry infringes, misappropriates or violates any third party’s
intellectual property rights).
The RNLI is not responsible for any miscommunications such as technical failures
related to any computer, unavailable network or server connections, related technical
failures, or other failures related to hardware, software or virus, or incomplete, late or
misdirected entries.
Any compromise to the fair and proper conduct of the Challenge may result in
disqualification of Entry, termination of Challenge of other remedial action, at the sole
discretion of the RNLI.
The RNLI reserves the right in its sole discretion to extend or modify the dates of the
Challenge and to change the terms of these Challenge Rules at any time.
By entering, you agree to these Challenge Rules and to all decisions of the RNLI, the
Judges, the Committee, and/or all of their respective agents, which are final and
binding in all respects.
11. No Obligation
You acknowledge that multiple participants may submit Entries that contain concepts
or technologies similar to your Entry and that the RNLI or their subsidiaries may
already be investigating or developing technical solutions that are related or similar to
those that you disclose in your Entry.
You acknowledge and you agree that any actions or omissions of the RNLI with
respect to another entry or one of its own solutions or business activities, even if
similar to your Entry, shall not create or impose any liability on the RNLI to you or
others.
Further, the RNLI shall not be restricted in any way pursuing, developing or
commercialising in any way that the RNLI sees fit, independent of you and at the
RNLI’s sole discretion, any technology that is created independent of your Entry.
For the avoidance of doubt, you acknowledge that the RNLI are not obligated to take
any action whatsoever with regard to your Entry.
12. Waiver
By entering the Challenge, you irrevocably waive all rights to seek injunctive or other
equitable relief, or to claim damages of any kind in relation to losses suffered as a
result of participation in the Challenge. This includes any legal expenses or fees.
You also agree to release, waive, discharge and covenant not to sue the RNLI or their
respective officers, agents, or employees (“Releasees”) in respect of any and all
liability, claims, demands, actions and causes of action whatsoever arising out of or
related to any loss, damage or injury, sustained or incurred (or allegedly sustained or
incurred) by you or others at any of the RNLI premises, unless such loss or injury is
caused by the negligence of any of the Releasees.
You acknowledge that neither you nor the Releasees can exclude yourselves from any
liability for death or personal injury caused by your own negligence, nor wilful default,
fraud or any other liability which cannot be excluded or limited by the laws of England
and Wales.
13. Law
You agree that these Challenge Rules and the relationship between you and the RNLI
shall in all respects be governed by and construed in accordance with English law. The
parties irrevocably submit to the exclusive jurisdiction of the courts of England.
For entrants living or operating outside of the United Kingdom, you specifically
acknowledge that you accept the practices and policies outlined in these Challenge
Rules and in the RNLI’s Privacy Policy and consent to having your data transferred to
and processed in the United Kingdom.
